Master Services Agreement

The framework behind every Evuiz engagement — written the way we work: clearly, and without hiding the important parts. Last updated: September 2026.

Article 1 — Parties

This Master Services Agreement ("Agreement") is entered into between Evuiz, a digital growth agency headquartered in New Delhi, India ("Evuiz", "we", "us"), and the client identified in the applicable Statement of Work ("Client", "you"). Together, the "Parties".

Article 2 — Scope and Statements of Work

This Agreement sets the general terms for all work Evuiz performs for the Client. The specific work for each engagement — services, deliverables, timelines and any exclusions — is defined in a written Statement of Work ("SOW") signed by both Parties. Each SOW is governed by this Agreement; if a SOW conflicts with this Agreement, the SOW prevails for that engagement only.

Work begins only after the SOW and any required advance payment are in place. Estimates given before signing are good-faith expectations, not guarantees.

Article 3 — Term

This Agreement begins on the date both Parties sign it and continues until terminated under Article 11. Individual SOWs may specify their own duration; project SOWs end on delivery and acceptance, retainer SOWs renew as stated in the SOW.

Article 4 — Fees and payment

Fees are as stated in each SOW — either fixed project fees or recurring retainers. Payment schedules, milestones and due dates are defined in the SOW. Unless stated otherwise, invoices are payable within the period specified in the SOW, and work may pause if undisputed invoices remain unpaid beyond that period.

Third-party costs (for example: media spend, software licences, stock assets, printing) are the Client's responsibility, are disclosed transparently, and are billed separately from Evuiz's fees unless the SOW states otherwise. Taxes are additional where applicable.

Article 5 — Client obligations

The Client agrees to provide, in a timely manner, the inputs reasonably needed for the work: brand assets, content approvals, access to accounts and platforms, and a single point of contact empowered to give feedback and sign off deliverables. Delays in Client inputs extend timelines day-for-day, and prolonged delays may require the SOW to be re-scoped.

The Client warrants that materials it supplies are owned by it or properly licensed, and do not infringe third-party rights.

Article 6 — Intellectual property

Work product created specifically for the Client under a SOW — designs, copy, code, campaigns, reports — transfers to the Client on final settlement of all undisputed amounts due under that SOW, as defined in the signed project agreement. Until then, Evuiz retains ownership as security for payment.

Evuiz's internal methods, templates, frameworks and know-how — including the E4 Growth System™ — remain the exclusive property of Evuiz and are licensed, not sold, to the extent they are embedded in deliverables. Neither Party may use the other's trademarks without written permission.

Article 7 — Confidentiality

Each Party keeps the other's confidential information — business data, credentials, strategies, unpublished work — strictly confidential, uses it only for the engagement, and does not disclose it to third parties without consent, except where required by law. This obligation survives termination.

Article 8 — Warranties and disclaimers

Evuiz warrants that services will be performed professionally and with reasonable skill and care, consistent with industry standards. Except as expressly stated, all work and advice are provided "as is": Evuiz makes no warranty — and expressly disclaims any guarantee — regarding search rankings, traffic, leads, revenue, return on ad spend, or any other business outcome. Marketing results depend on factors beyond any agency's control.

Article 9 — Limitation of liability

To the maximum extent permitted by law, neither Party is liable for indirect, incidental, special, consequential or punitive damages, including lost profits or lost data, arising from the engagement. Evuiz's total liability under any SOW is limited to the fees paid by the Client under that SOW in the twelve months preceding the claim.

Article 10 — Indemnification

Each Party indemnifies the other against third-party claims arising from its own breach of this Agreement or its own negligence or wilful misconduct — including, for the Client, claims arising from materials it supplied, and for Evuiz, claims arising from work it created, in each case to the extent of that Party's responsibility.

Article 11 — Termination

Either Party may terminate this Agreement or any SOW with the written notice period stated in the SOW (or, if none is stated, thirty days' written notice). Either Party may terminate immediately for material breach if the breach is not cured within fourteen days of written notice, or for insolvency. On termination, the Client pays for all work performed and committed third-party costs up to the termination date, and Evuiz delivers work completed to that point on payment.

Article 12 — Governing law

Governing law and dispute resolution are as specified in the signed agreement between the Parties. The Parties agree to attempt good-faith negotiation before pursuing formal proceedings.

Article 13 — Entire agreement

This Agreement, together with its SOWs, is the entire agreement between the Parties regarding the services and supersedes prior discussions. Amendments must be in writing and signed. If any provision is found unenforceable, the rest remain in force. Neither Party may assign this Agreement without the other's written consent.
